Agreement and definitions

These Terms of Service (“Terms”) form a legally binding agreement between you and Pro Trading Journal(“we,” “us,” “our”) governing your use of the Pro Trading Journal application and associated websites (the “Service”).

By creating an account, clicking “I agree,” or using any part of the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Definitions

• You / User: the individual or entity using the Service
• Account: the authenticated session tied to your email
• Content: trades, journal entries, rules, goals, and other data you submit
• Subscription: the paid plan that grants you access beyond the free tier

Eligibility and account

• You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction.
• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• One person per account. Sharing an account with another person is a breach of these Terms.
• You must notify us immediately at founder@protradingjournal.com if you suspect unauthorized access.

Plans, billing, and refunds

Plans

Pro Trading Journal offers three plans: Starter (free for your first 30 days, up to 50 trades), Pro (monthly or annual), and Lifetime (a one-time payment). Current pricing is shown on the pricing page.

Billing

• Subscriptions are billed in advance through Stripe.
• Monthly plans renew automatically on the same day each month; annual plans renew on the same day each year.
• By subscribing, you authorize us to charge your payment method for each renewal until you cancel.
• Applicable taxes are added where legally required.
• Prices may change with 30 days' notice. A price change never applies to an already-paid period.

Cancellation

You can cancel at any time from the billing portal. Cancellation takes effect at the end of the current paid period. You keep access until that period ends and are not charged again.

Refunds

• All paid plans (Pro monthly, Pro annual, and Lifetime) include a 7-day money-back guarantee: email founder@protradingjournal.com within 7 days of the charge and we will refund it in full, no questions asked.
• After the 7-day window, the current billing period is non-refundable. You can cancel at any time to prevent the next charge.
• Lifetime purchases are non-refundable after the 7-day window.
• If you believe you were charged in error, email founder@protradingjournal.com within 30 days and we will investigate.

Where consumer-protection law in your jurisdiction grants you stronger refund rights, those rights apply and nothing in this section limits them.

Free trial rules

• The Starter plan is free for 30 days and limited to 50 trades.
• One free trial per person. No card is required to start it. We may use account and device signals to enforce this limit.
• Attempts to circumvent the trial limit (multiple accounts, synthetic emails, card enumeration) are a breach of these Terms and may result in immediate termination without refund.

Your data and content

You retain full ownership of your Content. We do not claim any right in your trades, journal entries, or analysis.

By uploading Content you grant us a limited, non-exclusive, worldwide licence to store, process, display, and transmit it for the sole purpose of operating the Service for you. This licence ends when you delete the Content or your account.

You can export your Content at any time from the app. You can delete your account from the settings page or by emailing founder@protradingjournal.com.

Acceptable use

You agree not to:

• Violate any law, regulation, or third-party right in connection with the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Scrape, crawl, or mass-download Service content without written permission
• Use automated tools (bots, crawlers, headless browsers) outside our public API if offered
• Interfere with, disrupt, or impose undue load on the Service or its infrastructure
• Circumvent rate limits, quotas, paywalls, or access controls
• Upload malicious code, malware, or content that infringes intellectual property
• Resell, sublicense, or make the Service available to third parties as a commercial service
• Create multiple accounts to abuse free trials or promotional offers

Exchange API keys

If you connect an exchange to auto-sync trades, you warrant that:

• You own the exchange account or have authorization to use the API key
• The API key you provide has read-only permissions
• You accept full responsibility for the consequences of providing any key with write, trade, or withdrawal permissions — we do not need these permissions and strongly advise against granting them

You can revoke a connection at any time from the exchange settings page. We encrypt keys with AES-256-GCM before storage and decrypt them only at the moment of syncing. We are not liable for losses caused by compromised keys, exchange outages, incorrect key permissions, or exchange policy changes.

Not financial advice

• We are not a registered investment adviser, broker-dealer, or financial institution in any jurisdiction.
• Metrics, charts, behaviour tags, AI-generated insights, badges, and any other output are journaling aids — not advice.
• Past performance, simulated performance, and historical results shown in the app are not indicative of future results.
• Trading cryptocurrency, forex, equities, derivatives, and any leveraged instrument carries a high risk of loss, including loss of your entire capital.
• You are solely responsible for evaluating the merits and risks of any trading decision. Consult a qualified, licensed professional in your jurisdiction before acting on any information.
• We make no representation about the accuracy, completeness, or timeliness of market data displayed (which is sourced from third parties).

Intellectual property

The Service, its source code, design, branding, trademarks, written content (blog posts, in-app copy, documentation), and all associated intellectual property are owned by Pro Trading Journal or its licensors and are protected by copyright, trademark, and other applicable laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose under these Terms. Nothing in these Terms transfers any intellectual property right to you.

Third-party services

The Service integrates with third parties including Clerk, Stripe, CoinGecko, supported exchanges, Sentry, PostHog, and Vercel. Your use of those services through our integrations is subject to each provider's own terms and privacy policy. We are not responsible for the content, accuracy, availability, or practices of third-party services.

Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, third-party outages, network issues, or force majeure. We will give reasonable notice of planned maintenance where possible.

There is no service-level agreement (SLA) on current plans. Credits or refunds for downtime are not offered unless explicitly agreed in writing.

Termination

By you: you can delete your account at any time. Subscription cancellation is separate — see section 3.

By us: we may suspend or terminate your access immediately, without refund, if you:

• Materially breach these Terms
• Use the Service for illegal, fraudulent, or abusive purposes
• Create a risk or possible legal exposure for Pro Trading Journal or other users
• Remain non-paying on a paid plan beyond a reasonable grace period

Upon termination, your access ends and we may delete your Content after 30 days unless legally required to retain it longer.

Disclaimers

The Service is provided “as is” and “as available,” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

We make no warranty that (a) the Service will meet your requirements, (b) operation will be uninterrupted or error-free, (c) defects will be corrected, or (d) market data will be accurate or timely.

Some jurisdictions do not allow exclusion of implied warranties. In those jurisdictions the above exclusions apply only to the extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Pro Trading Journal, its directors, employees, and affiliates will not be liable for:

• Any indirect, incidental, consequential, special, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunity
• Losses resulting from trading decisions, trading outcomes, or inability to execute trades
• Losses resulting from third-party services (exchanges, payment processors, data providers, hosting)
• Unauthorized access to or alteration of your data where caused by factors outside our reasonable control

Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the total fees you paid to us in the 12 months before the claim arose, or (b) USD 100.

Nothing in these Terms limits liability that cannot lawfully be limited, such as for gross negligence, wilful misconduct, or death or personal injury caused by our negligence.

Indemnification

You agree to defend, indemnify, and hold harmless Pro Trading Journal from and against any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any third-party right; or (d) your Content.

Governing law and disputes

These Terms are governed by the laws of Pakistan, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts of Islamabad, Pakistan, and you consent to the exclusive jurisdiction of those courts. Where mandatory consumer-protection rules in your country of residence give you the right to sue in your local courts, this clause does not override that right.

Changes to these terms

We may update these Terms when the Service changes or the law requires. If changes are material we will notify you by email or in the app at least 14 days before they take effect. Continued use of the Service after changes take effect means you accept the revised Terms. If you do not accept, stop using the Service and cancel any paid subscription.
